III. DELEGATIONS:
IV. PRESENTATIONS:
V. ACTION ITEMS:
1. Request Agency approval to fund the proposed analysis for the
repair/replacement of the band shell in Riverfront Park. Approve a budget
transfer (BAF# 27-007T) in the amount of $37,400 from Contingency to
Professional Services for the proposed activity.
Director Neuterman provided some background information regarding the
bandshell and explained that there are some issues with it that need to be
addressed. Kimley Horn is being asked to do the design, and if construction is
needed then a report will be shared with the agency at a later time.
Several of the agency members had questions regarding this item. There were
inquiries about the CRA’s role in paying for this, how it fits in with the CRA Plan,
and how much revenue the bandshell brings in from events. Director Neuterman
responded to these questions by sharing that this item is just for design not
construction. She also stated that though the bandshell is not in the CRA Plan,
Riverfront Park is and we have contributed to the maintenance of the park in the

p
ast. Director Neuterman further explained that the funds would come out of
FY27 and it would be moved from Continegncy where there is approximately
$1.4 million. It was also pointed out by the City Manager that the bandshell does
not bring in a significant amount of revenue from events in the park.
Vice Chairperson Goins discussed some of the issues with the bandshell,
especially when it rains. He mentioned how there are issues with the infield, but it
was pointed out that since this item is only for the structural components, another
company would need to do an analysis on the infield.
Agency Member Hearn wondered about what led to the analysis. Director
Neuterman responded that there is rusting and cracks on the structure.
Agency Member Rogers does not feel that there is enough information. So, she
is not necessarily in favor of this right now.
Agency Member Koss addressed the turf analysis and shared information
regarding the drainage system and how it is a matter of routine maintenance to
keep it. It was noted that Public Works does maintenance on the system.
(The Chairperson arrived)
The City Manager explained that the replacement is in the general fund budget,
so it is a shared cost. He further noted that the bandshell is an amenity attached
to the park so requesting funds is appropriate. The City Manager also spoke
about the damages to the bandshell.
A motion was made to approve with staff recommendation, and it was seconded
by the Chairperson.
Vice Chairperson Goins thinks this is a win-win, and he believes it will be an
asset.
Agency Member Etz is not opposed to participating in fixing the bandshell, but
she thinks it should be the City’s responsibility to take care of the repairs.
* MOTION by Vice Chairpersons GOINS; Seconded by Chairperson BLAKE for
approval to fund the proposed analysis for the repair/replacement of the
band shell in Riverfront Park. As well as a budget transfer (BAF# 27-007T) in
the amount of $37,400 from Contingency to Professional Services for the
proposed activity.
AYES: BLAKE, ETZ, GOINS, HEARN, KOSS, ROGERS, WEEKS.

2. Staff is requesting that the CRA Board review the Final Application for a TIF
Incentive Agreement presented by The Framework Group (430 Brevard, LLC) and
provide any final direction before proceeding with completing the draft TIF
Incentive Agreement.
The Chairperson is in favor of this item, and he believes it is a worthwhile
investment that may bring in revenue resulting in longevity.
Director Neuterman read a description of the action item. She provided
information to the agency members regarding what the project is and explained
the purpose of TIF as well as how it encourages development, brings in jobs, etc.
There is $7 million estimated in Revenue with payments being made on an
annual basis. A presentation was then provided which included information
regarding the financial overview, developer request, CRA benefit, development
costs, the total private-to-public investment ratio, final application documents,
and the development timeline. Director Neuterman noted that the CRA Board
may participate in the negotiations.
Agency Member Rogers does not believe the board is prepared to vote on the
item today and wants to defer it until everyone has sufficient opportunity to
review the related documents. She would like to make a motion to defer the
consideration of the proposed TIF until we have all supporting documents minus
anything confidential.
The Chairperson stated that the City has done other projects with this group and
to his knowledge their integrity has not been called into question. He does not
doubt that this is a good thing.
Agency Member Etz does not like change and is not looking forward to
construction. She recently had a conversation with someone and heard that this
project is for the next generation and likes that idea. She is also comfortable with
what has been presented to the agency. During her statements, it was pointed
out that the projected amount that we would keep is just for this property and not
the properties around it.
Agency Member Koss agrees with a lot of what Agency Member Etz said but she
has not seen why the maximum amount for ten years is needed. She talked
about Framework Group as well as their previous projects and would like an
opportunity for the agency members to look at the figures. Agency Member Koss
then brought up a few questions she had. One of the questions was in regard to
the TIF amount and if it changes over time, which the City Manager and Director
Neuterman responded to. She then wondered if the value was transferable to
which the Agency Attorney responded by explaining that it will be written into the
Regular Cocoa CRA Meeting 10-05-2026

agreement. It was also noted that the TIF is only for this project and there are
certain objectives that must be met before payment.
Agency Member Rogers stated that this has nothing to do with supporting this
project, but she has concerns about whether the TIF fits and if agency members
have received the required information to make a decision. She also mentioned
getting an outside analysis to make a counter suggestion. The agency member
asked to defer the decision tonight until all parties can be fully informed.
Vice Chairperson Goins wondered about getting an outside analysis. The City
Manager does not believe the group will let a third party look at their financials.
He then explained the process going forward and shared that there may be
another opportunity to review the financials. The Vice Chairperson talked about
affordability and if a property could be brought up for community benefit and he
wanted to see if the Framework Group could work with the City for a potential
integration with their contract when dealing with TIF. Though the City Manager
does not know if that can be made a part of this agreement, he does know about
the Porch Light Organization and some information regarding it was given.
Agency Member Weeks stated that her concern is not with the project. She does
not want to do anything that will keep it from moving forward.
Jessica Galow spoke on behalf of Framework Group. She discussed the initial
TIF request for 95% and how it took time to identify if they could deliver the
quality of development that they had committed to in the development agreement
for 90%. Mrs. Galow also spoke on how there is not a lot of flexibility due to when
the CRA is sunsetting. A project with Daytona Beach was brought up, as was the
reasoning to why the financials are confidential and what figures are available for
public review. The economic impact report and TIF structure were then
discussed. Mrs. Garlow also answered a question previously asked regarding
transferability before sharing projects that Framework Group has had with
Daytona Beach. There is a required equity of 20% for the developer and this
project has doubled it.
Thomas Sexton from Framework Group spoke about community programing and
collaboration with the Mainstreet Group. It is a goal for Framework Group to
become a part of the community and to put programming in place to infuse local
establishments into the project.
Agency Member Hearn wondered what was dependent on getting the project
done as soon as possible. Mrs. Garlow responded by discussing the various
steps and processes that will need to take place such as engineering, a site plan,
etc. The City Manager added that this project has always been with RVI.

Vice Chairperson Goins asked about local preference. Thomas Sexton
responded that they have a contracting company that will at times bring in locals.
The Chairperson noted that in the past there have been contracts that allowed a
threshold for local contractors when it came time for bidding, but he does not
know if it still exists.
Agency Member Koss spoke of the proposed motion on the floor. She also
pointed out that there are four structures without the proper wastewater
infrastructure. The City Manager responded that this is all the more reason to
accelerate the project. If all large building types were here today there would be a
capacity issue and someone has to pay for the additional needed capacity.

Transcript Partial transcript
Machine transcription of the meeting recording. The words are the recognizer's, except where a passage is marked as corrected or machine re-recognized; most have
not been checked against the audio, so words, numbers and names can be misheard.
It describes what was said. It cannot establish who voted how, an amount or an outcome — the City's
minutes do that (above).
A time links to its passage, and “Copy link” copies that link. No recording can be started from here.
320 suspect passage(s) marked in place; inspection incomplete: language review; 1 stretch(es) where a voice was detected and no words were recognized.
How this transcript was made. New machine transcription of the whole recording, with 14 voices separated from the audio.
19 short machine repair(s) (20 word(s)) are labelled in place, with the original words beside them: an ordinary word was replaced only where two further machine readings agreed on a different one.
Checks run on this transcript: the recognizer's own warning signs and whether a voice was detected where the words are. Not completed: language review.
A second, independent machine reading was compared with it word by word: the same words for 92.0% of 13,489 content words.
Dotted words (420 places) are ordinary wording differences: hover or tap to see the other reading.
320 passages (23% of the words) are marked suspect: their words are not shown ("unclear audio") and support no statement: numbers, amounts, negation or names differ; the language review questioned them; or no voice was detected there.
Agreement between two machine readings is not verification.
Inspection is incomplete: language review.
Voice detected, no words recognized (1 stretch). Something may have been said here that the transcript does not have:
00:03:25 (7 s) — neither reading has words
Speakers were separated by voice. A plain name rests on evidence tied to that voice; “provisional” is a name from an earlier text-only pass and is not verified; “Speaker N” is an unidentified voice.

time, last time or the only time I know of that we'll all be together there with one of the Bahama parents. So I got a picture of us, just the four of us in front. you, Mr. Vice Chair. uh This agenda item is for the uh the bandshell at Riverfront Park. uh The bandshell structure was built uh approximately 27 years ago. And it is uh having some structural challenges that we need to run some tests and do a design to to fix some of the challenges that we have with some of the rusting and the components around the band shell So
Flag: a language review questioned the wording; numbers, amounts, negation or names differ between the machine readings · 00:06:05–00:06:10 · unresolved: the words are not shown (unclear audio); listen to the recording
to make it more structurally sound, make it safer, andand replace any components that need to be replaced for the project and this is strictly for design only um if there is a construction cost that will come later uh that will after the design has been done we'll we'll share the report with the agency after they have completed their design analysis. so we're requesting uh ‸ approval for

they have a budget for it from the revenues that they generate. um Would we not either split the cost with them or do they not have a line item for repairs or. For items that outlive their usefulness. That's my question on why we're seeing it in our budget. It's not a new item for redevelopment necessarily more maintenance. Is it not? It
is just to do the design. The construction probably will be at the cost of the city. um I but I don't know. I was asked to bring it to the agency for approval to purchase. And and it would be the agency's decision to fund or not fund it. And if not, then the city would have to fund it themselves.
Flag: numbers, amounts, negation or names differ between the machine readings; a language review questioned the wording · 00:08:09–00:08:17 · unresolved: the words are not shown (unclear audio); listen to the recording
‸ Okay. And do we when do we consider something? How do we make the distinction? Is it for the general fund or the CRA? Don't we have to have it in the CRA plan?
CRA plan and the CRA contributes to uh the general public works staff maintenance of the park. And with the during the construction period for that park, I know that the the city contributed to the CRA for thethe construction of Riverfront Park in 1999. So so there was a large contribution based on from the city and the CRA for Riverfront Park and the Bandshell um
oh so if we approve this, does this mean that we will be paying for the final construction or have any? Because I thought that ‸ anything that was new in the park would fit underneath uh our purview because it's a new item being added to the park. Not something that's already been in existence. Or do we have any influence on the design? I mean, if if it's if it's I thought it said it would either be repairs or replace. So I'm trying to suss out are we if we have to replace it. Is that considered a new item? It just doesn't seem like it. It should be actually for repairs. I would think they would have made it generated enough funds to do that. Or there's some kind of share, you know, cost sharing here. But I think it's should come out of their funds at this point. Since it's not a new item unless we are going to reconstruct the whole band shell. Because it is probably quite dated, but I don't know if we can increase

know one of the biggest issues that I've seen when it rains really bad inside the band shell area, the infield, um i it it causes a major issue, especially those big concerts where they have to bring in forklifts and other things to bring in the stanchions and the lights and all these different things. And so I will also um ask the the uh agency members to also to consider in this analysis uh doing turf inside the infield. um I know there's several drains that we have already existing inside the infield already. And and possibly that that could be another draw for promoters or whoever else having these big events. When it rains, it would not, you know, slow down that concert or whatever the case may be. um And it's just only the, only I'm only speaking on the footprint inside of the bowl, uh not outside, but just inside. It's because we don't have a budget that is a line item budget. We just have a pile of money sitting over here, which I think needs to be corrected and get into line with other municipalities who do have line item budgets. So, in my mind, I don't think we have enough information.
I understand that we do repairs. I mean, we do um maintenance for the for the lawns, but, I mean, where does it, you know, stop? I mean, sidewalks. I mean, do we do the sidewalks too because it's inside the the CRA? I mean, I just think if they're generating money, I'd like to know what their budget is that would have covered the cost of replacement. Because, um you know, there's no even an offer of, you know, shared cost or anything. So, I'm more, well, I'm not really quite in favor of this unless I have more information. When

they would have to meet certain contractual obligations. First and foremost, they're going to have to construct the project that they agreed to construct.
that is, that's, that's what you're incentivizing. And then annually, of course, the taxes will have to be paid as a condition of getting the reimbursement. So those are, those are some of the key conditions that would be in this particular agreement.
pay the property, you get the project built, you meet all the terms and conditions and not in default in the agreement. You pay the taxes, they pay the taxes, then the reimbursement is then given to the, to the entity that is paid, the property owner that's paid the taxes. Okay. That's how I envision it.

to show if this project would succeed or not. And that was about a year and a half ago now, I believe, that we were here. After that meeting, when that was kind of put forward as something the project would need and
‸ at a 90 maximum. And that is wholly within your review. When we looked at that policy decision, it took a very long time for the framework group to identify if they could deliver the quality of development that they committed to in that development agreement with a 90 tax increment. And I think the distinction is the CRA expires in 2041.
We just had a site in Daytona Beach, and we'll talk about Daytona as an example on another piece here, where there was a site that actually framework looked at before they selected the site that they are under construction on 400 Beach in Daytona Beach, where they were going to develop the site. They had a tax increment agreement. The seller in that case did not extend their contract. It expired. Somebody else came in. ‸ they had Daytona only has until 2036 for their CRA.

And thankfully, the city of Daytona Beach said, we understand. We've revised the tax increment agreement. You're going to go from, they were at 90 to 95 and they move forward. They started construction last week. They had their pre-construction meeting. And so when we're looking at incentives, the piece that's noted on the confidentiality, there are two pieces of information that are confidential in this package. It is
have we been asked to provide that information. It's not done because it's a trade secret. And because once something is submitted to the city, there are questions and concerns between public view and what are private documents. Now, they were in your guidelines, and we have figured out a way with the city attorney's office to provide those to you while working under the Florida statute that provides that those will remain

that said, we've looked at those numbers. They're all still valid, but they're conservative. If we build today, they are going to be even higher. So that is a minimum baseline of the public improvement and public benefit that will come out of this site. the tax increment structure and kind of some of the questions that came out of that. I did want to clarify that
somewhere in that gap is the spillover property value increase in the area. And the questions about the the changes ‸ in ‸ The way that this is structured is that, as noted, you get a base year, and it can be a random year that we pick with the city attorney, ‸ it could be this year, where it would be
Whatever we generate now in taxes, let's say, I'm going to use 15 000 as a round number. We have a 15 000 tax bill. When we complete the project and it is stabilized for rent, occupied, the property appraiser will assess that structure at 90 million, right the cost of improvement. When we get that 90 million, they apply the millage rate. They give you a new tax bill of 650 000 I'm using round numbers. You take that

never pay you less than what we pay you now. And then of that remainder, you calculate 90 of that. You take that 10 in addition to what you get now, and the rebate program is for the remainder. So that is the structure. It will change based on that assessed value year over year. We program in for our estimates and based on other projects about a

we're projecting right now about 10 years from stabilization to get there. If this is knocked out of the park, property taxes are great. They've got a bigger rebate and

allowed to get anymore so it would cut off at that time. If you don't read it meet it by year 10, you don't get to go to year 11. So you have the time frame and the maximum. There was a question on transferability. The only piece that I will point out because ‸ it would be a requested term that we've run into before is based on the Daytona example. In order to authorize the issuance of the construction loan for the project, there has to be a provision that says, if for some reason before construction is complete, the lender has to step in, they have a right. And so it is typically structured to say it is to framework during construction or an affiliated entity. We already have it here, that
But if the agreement was a framework group and then we had a special purpose entity for the site, they would be able to step in as long as they had the same principles or the lender who will finance the loan So that is to answer that question. And then on affordable housing, and I'll touch about touch on the pipeline. Framework looks at in a market before
to talk about community engagement because you guys brought that up last time, the programming piece. Is that framework starts in a community, and we'll use Daytona Beach as an example because it was brought ‸ up. Their first project in Daytona Beach is the Napier. It's a market rate project out on a growing piece of Daytona Beach out by the interstate. Framework started here with Cirrus, market rate project.

Honestly, I think that this is the last domino in terms of getting this in place to release the full scope of engineering for the project. And so from this step forward, once we know that a project is financially viable, which normally we know when we're doing the development agreement, but we've got a new program here and we're working through that with you guys. Once we have that in place, we release the engineers to go through both the city process and all of the state agency permitting process. That's required. In order to get there, they have got, I'm going to estimate, about 90 to 120 days of work to do to run stormwater calculations, to design plans, to get full sets from the architects and submit those for review. So what I call that wash and rinse cycle of a site plan is about a 12 to 18 month process from start to finish. And so I really think it's getting the go ahead to get started, to tell all of our engineers, pencils to paper, we are going. We get through that process. Once you have a site plan complete, permitting is pretty quick. They've already reviewed the floor plan. um ‸ Your permitting department is great to work with. We go through that. They say, yes, you are good to start construction. And then you're moving. And

you're finishing the finish on the other units. And so you've got that rolling activity within the site as soon as possible. Thank

you. You really hit on it. It has a lot to do with just the design process and giving ourselves enough time to adequately respond to school concurrency, you know, the storm calculations and all the workings of the plans.
And agency member Hearn. And so um we've actually just staffed up in in planning in terms of internal staff. But this project has always been with RVI, which are the contracted planners there. And soso as a way of a of a force multiplying our staff resources, we do have the contract with RVI, and RVI has been on this project since day one.
I've seen projects that when cities give um this relief, the the the contractor and or the the owner may not bring in local contractors in that from that community to
projects where you get somebody from Fort Myers or somewhere else, which I know that's all about cost, prices they give, bids, all that. I get that. um But I think people would palette this better as well if some sort of a local preference ‸ in it.
‸ And I'll have Thomas touch on that briefly because the framework has a construction arm, so there's a piece of it that is in-house that helps with facilitation. But my experience in the other projects is they know the value of having a local group go bug planning and permitting about status. But I will defer to Thomas to answer that.
